Unless otherwise defined herein, all capitalised terms used shall have the meanings ascribed to such terms in the Terms and Conditions. In addition
“Company”, “we”, “our” or “us” – Cap-It Issuer Limited.
“Materials” – publications, information, briefings, newsletters and presentations on the Website.
“Terms” – Web Terms of Use.

2. Web Terms of Use
These Terms are the terms and conditions on which we provide the text, software, database, format, documents, graphic and written work and all other content associated with the Materials published on the Website and the basis on which we allow access to the Materials.  Please read these terms carefully before accessing the Materials or using our Website. By accessing the Materials or using our Website you agree to the Terms whether or not you have an account on the Website.
You may enter other agreements with us that will govern the use of the Website. For example, if you purchase a Cap-It Certificate, you will enter a Subscription Agreement with us. If there is any contradiction between the other agreement and these Terms of Use in relation to a specific aspect of the Website, the other agreement shall take precedent in relation to that specific aspect of the Website.

THE MATERIALS ARE FOR GENERAL INFORMATION ONLY AND ARE NOT INTENDED TO PROVIDE FINANCIAL OR LEGAL ADVICE AND SHOULD NOT BE RELIED ON OR TREATED AS A SUBSTITUTE FOR SPECIFIC ADVICE RELEVANT TO PARTICULAR CIRCUMSTANCES. WE DO NOT ACCEPT RESPONSIBILITY OR LIABILITY TO USERS OR ANY THIRD PARTIES FOR LOSSES INCURRED AS A RESULT OF RELIANCE ON THE MATERIALS OR THEIR CONTENTS.

3. Changes to Webs Terms of Use
We may change these terms from time to time. If we do, we’ll let you know about any material changes, either by notifying you on the Website or by sending you an email. New versions of the terms will never apply retroactively — we’ll tell you the exact date they go into effect. If you access the Materials or use our Website after the change, that means you accept the new terms.

4. Accounts
Users of the Website can register on our website. Once you are registered you can purchase Cap-It Certificates. In the registration process you will be asked to supply a username and password. Your username and password will be used in order to access parts of the Website.

You must also be eligible to register an account on our Website. This will be determined by information provided by you at the registration stage. For more information see the Account Eligibility section of these Terms.
At present there is no fee payable for opening an account. We reserve the right to introduce an account fee in future.
An account is not transferable.

Cap-It may suspend or place any limitations on your account at any time if we believe it is appropriate in order to comply with its legal obligations. 5. Account Eligibility  
This Website and all its materials are intended solely for natural persons who are at least 18 years old. Any use of this website by natural persons under 18 years old is a violation of these Terms. By accessing the materials on the Website, you acknowledge that you are at least 18 years old. If any of the Terms are breached in these Terms of Use we reserve the right to terminate any account you may have access to, delete any content or information that you have posted on the Platform and/or prohibit you from using or accessing the Materials or the Website (or any portion, aspect or feature of the Materials or the Website), at any time at our sole discretion, with or without notice, including without limitation if we believe that you are under 18.

If you are acting on behalf of or are the representative of a company, LLP, or partnership, you must be over 18.

​To open an account as an individual with Cap-It
i) you must be over 18 years old;
ii) you must be a permanent resident of the UK (excluding the Channel Islands and the Isle of Man);
iii) you must have a valid UK bank or building society account;

In the registration process you will be asked questions which will determine if you are eligible to sign up to the Website. To be eligible to open an account you must be one of the following: High Net Worth; Sophisticated; or Advised. These categories are determined in line with FCA regulation on the exemptions of the financial promotion of non-pooled mainstream investments. It is at our sole discretion whether you are eligible for an account. We retain the right to refuse an individual from opening an account without giving a reason.

Before making an account active, we carry out identity and fraud checks. We retain entire discretion as to whether an application for an account is permitted or not. We will require you to submit additional information or documents in support of your application.

Company Eligibility 
If you are a UK limited company, you must you must be registered with Companies House. If you are an LLP, you must have a permanent place of business in the UK.

In the registration process you will be asked questions which will determine if you are eligible to sign up to the Website. To be eligible to open an account as or on behalf of a company or LLP you must be either an elective professional or Advised. These categories are determined in line with FCA regulation on the exemptions of the financial promotion of non-pooled mainstream investments. It is at our sole discretion whether you are eligible for an account. We retain the right to refuse an individual from opening an account without giving a reason.

Before making an account active, we will carry out identity and fraud checks. We retain entire discretion as to whether an application for an account is permitted or not. You may be requested to submit additional information or documents in support of your application.

You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failing to keep this information secure and confidential. You agree to notify us immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Cap-It or any other user of or visitor to the Site due to someone else using your Cap-It password or account as a result of your failing to keep your account information secure and confidential.
You may not use anyone else’s Cap-It account at any time without the express permission and consent of the holder of that Cap-It account, password or account. Cap-It cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

By using the Website, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Website or otherwise requested by us. (b) maintain the security of your password and identification; (c) maintain and promptly update your Account details, and any other information you provide to us, to keep it accurate, current and complete; (d) promptly notify us regarding any material changes to information or circumstances that could affect your eligibility to continue to use the Platform or Service or the terms on which you use the Platform or Service; and (e) be fully responsible for all use of your account and for any actions that take place using your account.

8. Trademarks and Intellectual Property
All copyright, trademarks and other intellectual property in or arising out of the Materials vest solely in us.

Nothing in these terms shall operate to exclude or restrict liability based on fraud or reckless disregard of professional obligations or any other liability that cannot be excluded or restricted by applicable laws or regulations.
